Terms of Service
These terms explain what TidyFilings does, what you're responsible for, and what you can expect from us. Please read them before you file. By using TidyFilings to prepare or submit a filing, you agree to them.
1.Who we are
TidyFilings ("we", "us", "our") is filing software for small UK companies, run by Ayodeji Okusanya. You can contact us at privacy@tidyfilings.co.uk. "You" means the person using the service, acting for the company being filed.
2.What TidyFilings is — and isn't
TidyFilings lets you prepare your own dormant or micro-entity company accounts by answering plain-English questions, review the finished accounts, and file them electronically with Companies House through their official software channel.
We are a software tool and a filing conduit. We are not:
- an accountant, bookkeeper, auditor, or tax adviser;
- an Authorised Corporate Service Provider (ACSP) or a company formation agent;
- Companies House, HMRC, or any government body;
- your agent — we do not act on your behalf beyond transmitting the specific filing you approve.
Nothing we provide is accounting, tax, or legal advice. If you need advice on what your company should file or whether it qualifies as dormant or a micro-entity, please consult a qualified professional.
3.Your responsibilities
Because you prepare and approve your own filing, you are responsible for:
- Accuracy. The answers, figures, and details you enter must be true and complete. We prepare the filing from what you give us; we do not verify it.
- Eligibility. Confirming that your company is entitled to file dormant or micro-entity accounts for the period in question.
- Authority. You confirm you are a director of the company, or are authorised by the company to make this filing.
- Review and approval. Reading the finished accounts we show you before you approve them. Once you approve and submit, that is the filing that goes to Companies House.
- Your credentials. Keeping your company authentication code and login details secure, and providing a code you are entitled to use.
4.How filing works
- We generate your accounts in the format Companies House requires, based only on the information you provide.
- We show you the complete filing to review. Nothing is submitted until you approve it.
- On your approval, we transmit the filing to Companies House using your company authentication code.
- We pass on the outcome Companies House returns — acceptance or rejection — and email you confirmation.
5.Acceptance is decided by Companies House, not us
We can transmit your filing, but only Companies House decides whether to accept it. A filing may be rejected for reasons outside our control — for example, incorrect figures, a wrong authentication code, an overdue period, or a company not eligible for the accounts type chosen. A rejection is not a fault in our software. Where a filing fails for a reason on our side, our Refund Policy applies.
6.Fees and payment
- Dormant company accounts: £15 per filing. Micro-entity accounts: £30 per filing.
- You pay per filing, at the point you choose to file. There is no subscription or account fee.
- Payment is taken by our payment processor before your filing is transmitted. Prices include any VAT where applicable.
- Refunds are governed by our Refund Policy.
7.Your data and authentication code
How we handle your information — including how your company authentication code is encrypted and kept out of our logs, and how you can delete your data — is set out in our Privacy Policy. We use your authentication code only to transmit the filing you approve.
8.Acceptable use
You agree not to use TidyFilings to file for a company you have no authority over, to submit information you know to be false, or to attempt to disrupt, probe, or misuse the service. We may decline or stop a filing we reasonably believe to be unauthorised or unlawful.
9.Our liability
We provide the software with reasonable care and skill. Because you prepare and approve your own filing, we are not liable for the content of your accounts or for a rejection or penalty caused by information you provided, by an incorrect authentication code, or by filing late.
To the extent the law allows, our total liability to you for any claim connected with a filing is limited to the fee you paid for that filing. We do not exclude or limit liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded. Nothing in these terms affects your rights under the Consumer Rights Act 2015 or other rights you have as a consumer that cannot be waived.
10.Availability
We aim to keep the service available but cannot guarantee it is uninterrupted or error-free, and Companies House's own systems may be unavailable at times. We are not liable for delays caused by circumstances outside our reasonable control, though we will always help you file once service is restored and, where the delay was on our side, apply the Refund Policy.
11.Changes to these terms
We may update these terms — for example, if the filing rules change or we add features. The version that applies to your filing is the one published when you make it. We'll post the current version on this page with its date.
12.Governing law
These terms are governed by the law of England and Wales, and disputes are subject to the courts of England and Wales. If you are a consumer in Scotland or Northern Ireland, you may instead bring proceedings in your local courts.
